The software Decay v1.1 ("Decay") will be licensed to you on the condition that you read and agree to the terms and conditions set out in this license. Please read this agreement with care. You will be bound by these terms if you download and/or install this software. If you do not wish to be bound by these terms, please do not download the software or install or use the Decay program on your computer. If you agree to the terms of this license, Ascent Software Ltd. grants you a non-exclusive license to use the Decay program and relevant documentation, as set out below. The Decay program and accompanying documentation are referred to in this license agreement as the 'Licensed Materials'.

  1. Ownership. The licensed material remains the exclusive property of Ascent Software Ltd. You do not become the owner of these licensed materials by downloading, installing or using them.
  2. License. Ascent Software Ltd. licenses you to download, install and use the licensed materials on one computer. You may use the software free of charge, for educational use. You may not use the software for profit or indeed as part of any commercial venture.
  3. Duration. This license agreement takes effect from the earlist date on which you either download or install or use the licensed materials. You may terminate this agreement at any time by destroying all copies of the licensed materials and removing them from your computer system. This license will terminate immediately should you violate any of the terms and conditions of this agreement.
  4. Transfer of License Restrictions. You may permanently transfer these licensed materials to any other party, provided that the party agrees to the terms in this agreement and that you transfer all copies of the licensed materials and destroy any copies of the materials not transferred. You may not rent out, lease, sell or otherwise transfer these licensed materials to any other party.
  5. Copyright Restrictions. Copyright is reserved on these licensed materials by Ascent Software Ltd. or its suppliers. You may make one copy these materials for your sole use as a backup. You may make no other copies of these licensed materials.
  6. Modification and Dissassembly. You may not modify these materials in any way. You may not dissassemble or de-compile the Decay program.
  7. Limited Warranty. You acknowledge that the use of this software is entirely at your sole risk. The licensed materials are provided 'as is' and Ascent Software Ltd. makes no warranty of any description whatsoever.
  8. Limitation of Liability. Ascent's and its suppliers' liability shall not in any event include losses related to any person, any business or any organisation using these licensed materials. Such excluded losses include (but are not limited to) lost data, lost profits or business interruption. To the extent that you could have avoided damages by taking reasonable care, including (but not limited to) by backing up your software and other files, being aware of possible erroneous or misleading results, Ascent will not be liable for such damages. Ascent's and its suppliers' liability shall not in any event include losses related to any person, any business or any organisation as a direct or indirect result of the faulty work of a user of these licensed materials. Such excluded losses include (but are not limited to) lost data, lost profits or business interruption. To the extent that you could have avoided damages by taking reasonable care, including (but not limited to) by backing up your software and other files, being aware of possible erroneous or misleading results, Ascent will not be liable for such damages.
  9. Exclusion of Implied Terms: To the maximum extent permitted by applicable law, Ascent disclaims all other warranties, conditions or other terms, either express or implied (whether by statute, common law, collaterally or otherwise), including but not limited to, implied warranties of satisfactory quality and fitness for particular purpose, with respect to the licensed materials. Any implied warranties that are not deemed excluded are limited to 90 days or the shortest period permitted by applicable law, whichever is lesser. No Liability for Consequential Damages: To the maximum extent permitted by applicable law, Ascent and its suppliers shall not be liable for any other damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information or other pecuniary loss) arising out of the use of or inability to use the licensed materials or the provision of or failure to provide adequate documentation (including without limitation, through negligence), even if Ascent has been advised of the possibility of such damages. In any case, Ascent's entire liability under any provision of this agreement shall be limited to the amount actually paid by the user for the licensed materials.
  10. General Terms: You accept that no software Product or Service is error-free. The laws of Scotland govern this agreement.
